Terms of Service

Effective October 29, 2026

These Terms of Service (“Terms”) are an agreement between you and Tech & Toast Limited (“we”, “us”, “our”), the operator of TOASTPRO (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don’t agree, don’t use the Service.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use TOASTPRO. If you use the Service for a company or brand, you confirm that you are authorized to accept these Terms for it, and “you” includes that organization.

2. Invite-only access

During early access, creating an account requires a valid invite. Invite codes are personal and may be limited to one use or to a specific email address. You may not sell, trade, or publicly post invite codes. We may revoke invites or accounts created in breach of these Terms.

3. Your account

  • You sign in with your Google account. Keep that account secure, because you are responsible for activity on your TOASTPRO account.
  • Keep your profile information accurate and up to date.
  • Tell us promptly at info@techandtoast.io if you believe your account has been compromised.

4. Brands and teams

You can create a brand and invite others to its team with different roles. Brand owners are responsible for who they add, the permissions they grant, and the activity of their brand’s members on the Service.

5. The marketplace

TOASTPRO connects creators, professionals, and brands. We are not a party to agreements between members, we do not employ creators or professionals, and we do not guarantee any project, booking, result, or payment between members. Members are responsible for their own agreements, deliverables, taxes, licenses, and legal obligations.

6. Your content

You keep ownership of the content you post or upload, such as profile details, media, applications, and submissions (“Your Content”). You give us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and transmit Your Content only as needed to operate, secure, and improve the Service and to show it to the members you share it with. This license ends when you delete Your Content or your account, except for copies other members already received or that we must keep for legal reasons.

Rights to content you deliver to a brand for a project, such as usage rights or licensing, are governed by your agreement with that brand, not by these Terms.

You confirm that you have the rights needed to post Your Content and that it doesn’t infringe anyone else’s rights.

7. Acceptable use

You agree not to:

  • break any law or infringe anyone’s intellectual property or privacy;
  • post content that is unlawful, harassing, hateful, sexually explicit, or misleading;
  • impersonate anyone or misrepresent your identity, skills, or affiliation;
  • send spam or unsolicited promotions to other members;
  • scrape, copy, or harvest data or member information from the Service without our written permission;
  • interfere with or try to gain unauthorized access to the Service, other accounts, or our systems; or
  • use the Service to build a competing product.

8. Payments

Some features may involve payments or payouts. These are processed by third-party providers (such as Stripe, PayPal, or a Bitcoin payment provider) under their own terms. Any fees will be shown to you before you agree to them. You are responsible for providing accurate payout details and for any taxes on amounts you receive.

9. Third-party services

The Service relies on and links to third-party services such as Google sign-in and social platforms. Your use of those services is governed by their own terms, and we aren’t responsible for them.

10. Our intellectual property

The Service, including the TOASTPRO name, logo, design, and software, belongs to Tech & Toast Limited and is protected by law. These Terms don’t give you any rights to our trademarks or branding.

11. Early access

TOASTPRO is in early access. Features may change, be limited, or be removed, and the Service may occasionally be unavailable. We appreciate your feedback, and you agree that we may use it without any obligation to you.

12. Suspension and termination

You can stop using the Service and ask us to delete your account at any time. We may suspend or terminate your access if you breach these Terms, create risk or legal exposure for us or other members, or if we discontinue the Service. Sections that by their nature should survive termination will survive, including sections 6, 10, and 13 to 16.

13. Disclaimers

The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We don’t verify every member and don’t guarantee the quality, safety, or legality of member content or conduct.

14. Limitation of liability

To the fullest extent permitted by law, Tech & Toast Limited will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from your use of the Service or dealings with other members. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim or US$100. Nothing in these Terms limits liability that cannot be limited by law.

15. Indemnity

You agree to indemnify and hold harmless Tech & Toast Limited from claims, losses, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your dealings with other members, or your breach of these Terms.

16. Governing law and disputes

These Terms are governed by the laws of Jamaica, without regard to conflict-of-law rules. The courts of Jamaica have exclusive jurisdiction over any dispute arising from these Terms or the Service, unless the law where you live gives you the right to bring a claim in your local courts. Before filing a claim, please contact us so we can try to resolve it informally.

17. Changes to these Terms

We may update these Terms. If a change is material, we will notify you by email or in the Service before it takes effect. Continuing to use the Service after the effective date means you accept the updated Terms.

18. General

These Terms and our Privacy Policy are the entire agreement between you and us about the Service. If any part is found unenforceable, the rest stays in effect. If we don’t enforce a right, that isn’t a waiver of it. You may not transfer these Terms without our consent; we may transfer them in connection with a merger, acquisition, or sale of the Service.
